1. Acceptance of Terms

By accessing or using the MixShift platform and services operated by Dash Applications LLC ("MixShift," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Service

MixShift provides a cloud-based platform for Amazon sellers, vendors, and agencies that includes data analytics, reporting, forecasting, and workflow automation tools. Service tiers and features are described on our pricing page.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain more than one free account

4. Amazon API Authorization

To use certain features, you must authorize MixShift to access your Amazon Seller Central or Vendor Central data via Amazon's SP-API. You represent that you have the authority to grant such access and that your use complies with Amazon's terms and policies.

5. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any part of the service
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Resell, sublicense, or redistribute the service without written consent
  • Interfere with or disrupt the integrity or performance of the service

6. Payment and Billing

  • Paid plans are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to modify pricing with 30 days notice
  • Failure to pay may result in suspension or termination of your account

7. Intellectual Property

The MixShift platform, including its software, design, trademarks, and content, is owned by Dash Applications LLC. Your use of the service does not grant you any ownership rights to our intellectual property. You retain ownership of your data uploaded to the platform.

8. Data Ownership and License

You retain all rights to your data. By using the service, you grant MixShift a limited license to process and display your data solely for the purpose of providing the service. We will not use your data for any other purpose without your consent.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, MixShift shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these terms. Upon termination, your right to use the service ceases immediately. You may request export of your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the service after changes constitutes acceptance of the revised terms.
